title RESOLUTION AUTHORIZING AMENDMENT OF CONTRACT WITH WGL ENERGY SERVICES, INC. FOR ELECTRICITY GENERATION SUPPLY SERVICES TO PARTICIPATING MEMBERS OF THE PASSAIC COUNTY ENERGY REGIONAL COOPERATIVE PRICING SYSTEM (PCERPS) ID #203PCERCPS, PURSUANT TO N.J.S.A. 40A:11-4 AND SB-25-057, TO ADD NINE ADDITIONAL ACCOUNTS TO BID GROUP 4 body WHEREAS, the County of Passaic (hereafter "County") is a body politic and corporate pursuant to N.J.S.A. 40:18-1 and vested with all rights contained therein; and WHEREAS, pursuant to N.J.S.A. 40:20-1 the Board of County Commissioners of the County of Passaic (hereafter "Board") is vested with managing the property, finances, and affairs of the County; and WHEREAS, pursuant to N.J.S.A. 48:3-93.1, et seq. and N.J.A.C. 14:4-6.1, et seq., the County is authorized to establish a government aggregator and energy aggregation program to provide for the purchase of electric generation service and natural gas; and WHEREAS, on September 24, 2013, the Board approved Resolution No. R2013731, establishing a government energy aggregation program pursuant to N.J.S.A. 48:3-93.1, et seq. and N.J.A.C. 14:4-6.1, et seq. ("Energy Aggregation Program"); and WHEREAS, the purpose of the Energy Aggregation Program is to increase the competition of electric generation and natural gas services, thereby lowering electric and natural gas rates for County residents and non-resident users; and WHEREAS, as part of the Energy Aggregation Program, the County requires qualified New Jersey Board of Public Utilities licensed third-party electric and/or natural gas suppliers to provide electric and natural gas services to participating members of the Passaic County Energy Regional Cooperative Pricing System ("PCERCPS") ID #203PCERCPS; and WHEREAS, on October 22, 2024, the Board approved Resolution No. R-24-923, qualifying a pool of New Jersey Board of Public Utilities licensed third-party electric and/or natural gas suppliers to provide electric and natural gas services to participating members of the PCERCPS; and WHEREAS, on September 9, 2025, the Board approved Resolution No. R-25-793, qualifying an expanded pool of New Jersey Board of Public Utilities licensed third-party electric and/or natural gas suppliers qualified to provide electric and natural gas services to participating members of the PCERCPS, including WGL Energy Services, Inc.; and WHEREAS, the County issued and received bids in response to SB-25-057, Electricity Generation Supply Services for Participating Members of the Passaic County Energy Regional Cooperative Pricing System ("SB-25-057"); and WHEREAS, on October 28, 2025, consistent with the Purchasing Agent's recommendations, the Board approved Resolution No. R-25-1000, awarding a contract to WGL Energy Services, Inc., the lowest responsible bidder under SB-25-057, for the provision of electricity generation supply services to the County (Bid Groups 1, 2, and 3) and other participating members (Bid Groups 4 and 5) of the PCERCPS, for 24-month term from December 1, 2025 to November 30, 2027, and a total amount not to exceed four million twenty-one thousand four hundred seventy-seven dollars ($4,021,477.00) with respect to Bid Groups 1, 2, and 3; and WHEREAS, nine (9) accounts were inadvertently omitted from the list of accounts under the above-described contract, which the County and WGL Energy Services, Inc. have agreed to add to the contract under Bid Group 4; and WHEREAS, pursuant to N.J.S.A. 52:32-60-1, et seq., WGL Energy Services, Inc. executed the Non-Involvement in Prohibited Activities in Russia or Belarus Certification, attached hereto and made part of this Resolution, certifying that it is not involved in prohibited activities in Russia and Belarus, and the County confirmed that WGL Energy Services, Inc. is not identified on the Specially Designated Nationals and Blocked Persons list created by the Office of Foreign Assets Control; and WHEREAS, funds are available in any account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been contingently certified by the Chief Financial Officer subject to sufficient funds being appropriated by the Board in the 2025 and/or subsequent years' County budget(s); and WHEREAS, this matter was discussed at the October 29, 2025, Administration and Finance Committee meeting, and is being recommended to the Board for approval. NOW, THEREFORE, LET IT BE RESOLVED, pursuant to N.J.S.A. 40A:11-4, et seq., the Board of County Commissioners of the County of Passaic hereby authorizes an amendment to the County's contract with WGL Energy Services, Inc. for the provision of electricity generation supply services to the County (Bid Groups 1, 2, and 3) and other participating members (Bid Groups 4 and 5) of the PCERCPS, for 24-month term from December 1, 2025 to November 30, 2027, only to add nine (9) Borough of Ringwood accounts under Bid Group 4 at an all-in fixed price of $0.12266/kWh (including NJSUT), in accordance with SB-25-057. LET IT BE FURTHER RESOLVED, that the Clerk to the Board, County Counsel, County Administrator, Purchasing Agent and Director of the Board are authorized to take any action necessary to carry out the purpose of this Resolution, including execution of a contract amendment on the above-described terms, in a form to be approved by County Counsel.
